Desktop App EULA

1. Scope
This End User License Agreement ("EULA") is a binding agreement between you ("you", "user") and Cueva Control ("we", "us") and governs your installation and use of the Cueva Control Desktop App (the "Software"), distributed as a downloadable installer (.dmg, .exe, .AppImage, or similar).
This EULA covers only the standalone Desktop App. The Cueva Horizon cloud service at cuevahorizon.com and the Cueva Control customer portal at my.cuevacontrol.com are separate products with their own terms — see cuevacontrol.com/legal/terms.
By installing or using the Software you accept this EULA. If you do not accept it, do not install or use the Software.
2. Provider
The Software is provided by Cueva Control, registered in the Netherlands (Chamber of Commerce: 99917920, VAT: NL869186632B01), with its registered office at Leeuwenhoekstraat 98, 2652 XL Berkel en Rodenrijs, the Netherlands.

3. License grant
Subject to this EULA, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for your internal business or personal use, in accordance with this EULA.
This license does not transfer ownership of the Software. All intellectual property rights in the Software remain with Cueva Control or our licensors.
4. Restrictions
You may not, and you may not permit anyone else to: copy, modify, distribute, sell, lease, or sublicense the Software; reverse engineer, decompile, disassemble, or attempt to derive source code from the Software, except to the extent applicable law expressly permits; remove or alter any proprietary notices in the Software; use the Software to build a competing product; or use the Software in violation of applicable law.
5. How the Software works (and what it does NOT do)
The Software is designed to run entirely on your computer and your local network. It connects to IoT devices on your local network using standard network protocols (HTTP, UDP).
The Software does not require an account or login. It does not send any data about you, your devices, or your usage to Cueva Control or any third party over the internet. It does not collect analytics, telemetry, crash reports, or usage statistics. It does not phone home for license validation, update checks, or any other purpose. It does not read files outside of its own application data directories.
The Software does store the following locally on your computer: device configurations, automations, and scenes you create (in a local SQLite database within the application data folder); application preferences (theme, window size, etc.); optional credentials for the IoT devices you choose to connect to, stored in your operating system's secure credential store (Keychain on macOS, Credential Manager on Windows, libsecret on Linux); plugin files you install. This data never leaves your computer through the Software.
You are solely responsible for backing up this data if you wish to preserve it.
If you separately choose to open external links from within the Software (for example, in-app "Support" or "Documentation" links), your web browser will load those pages and may be subject to those websites' own tracking — which is outside the scope of this Software.
6. No warranty
To the maximum extent permitted by applicable law, the Software is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.
We do not warrant that the Software will meet your requirements, be free of defects, be compatible with any particular device or operating system, or interoperate correctly with any third-party IoT device.
7. IoT devices and safety
The Software controls physical IoT devices. You acknowledge that IoT devices can fail, become unreachable, or behave unexpectedly due to network issues, firmware bugs, power loss, or other causes outside our control.
The Software is not designed, tested, or certified for use in safety-critical, life-safety, medical, or mission-critical applications, and must not be used as the sole control system for any such application.
You are responsible for safe physical installation, electrical compliance, and any redundancy or fail-safe mechanisms required for your use case. You must not use the Software in any way that violates the device manufacturer's terms or applicable safety regulations.
8. Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability arising from or related to the Software shall not exceed one hundred euros (EUR 100). We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business interruption, even if advised of the possibility.
We are not liable for damage to or loss of physical IoT devices or for any consequential physical damage, except where caused by our gross negligence or willful misconduct.
Nothing in this EULA excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded under Dutch law. If you are a consumer, your statutory rights are not affected by this section.
9. Updates
The Software does not check for updates automatically. You are responsible for installing newer versions if you wish to receive bug fixes, improvements, or security patches. New versions are made available on our website.
10. Third-party components
The Software incorporates third-party open-source components, each of which remains governed by its own license. A list of these components and their licenses is preserved in the package metadata distributed with the Software.
11. Termination
This EULA terminates automatically if you breach any of its terms. You may terminate it at any time by uninstalling and deleting the Software. Sections 6, 7, 8, 10, and 13 survive termination.
12. Changes to this EULA
We may update this EULA in future versions of the Software. The version of the EULA that applies to your installation is the version included with the Software at the time you installed it. Continued use of a new version of the Software after a EULA update constitutes acceptance of the updated EULA. If you do not agree, do not install the new version.
13. Governing law and disputes
This EULA is governed by the laws of the Netherlands, excluding its conflict-of-laws rules. Any dispute arising out of or related to this EULA or the Software shall be submitted to the exclusive jurisdiction of the competent courts of Rotterdam, the Netherlands, without prejudice to mandatory consumer protection law of your country of residence.
